End-User License Agreement (EULA)
This End-User License Agreement ("Agreement") is a legal contract between Commerce Theory, LLC ("Company") and Recovery Firefly LLC ("Client") for the use of [App Name] (the "App"), a custom application designed to transfer Shopify order data to QuickBooks invoices.
1. License Grant
The Company grants the Client a non-exclusive, non-transferable license to use the App for internal business operations. This license is limited to the Client's use only.
2. Ownership
The App remains the exclusive property of the Company. The Client acknowledges that this Agreement does not transfer ownership rights, and the Client has no rights to modify, distribute, or sublicense the App.
3. Restrictions on Use
The Client may not:
- Distribute, sublicense, or allow any third party to use the App.
- Modify, reverse-engineer, or attempt to discover the source code of the App.
- Use the App for any purpose other than those outlined within this Agreement.
4. Data Handling
The App does not store or retain data. It solely transfers data between Shopify and QuickBooks without collecting, saving, or sharing data with any third parties.
5. Maintenance and Support
The Company will maintain the App while an active retainer contract is in place. Maintenance includes addressing bugs or issues as needed but does not include enhancements or major updates unless otherwise agreed upon.
6. Liability and Warranty Disclaimer
The App is provided "AS IS" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company disclaims all liability for any damages arising from or related to the use of the App. The Client assumes all responsibility for any risks associated with using the App.
